End User License Agreement

Thank you for your interest in the products of InsightViz.

Please read this End-User License Agreement (“EULA”) carefully, understand your rights and restrictions before accepting the terms of this agreement and using the application.

By clicking the “I Agree” button or using the application in any way, you are agreeing to be bound by the terms and conditions of this EULA. If you do not agree to the terms of this EULA, do not use the Application.

About this EULA

This End-User License Agreement (hereinafter “EULA”) is between InsightViz and you.

InsightViz (hereinafter the “Vendor”) provides applications which interoperate with products developed by Atlassian Pty Ltd (hereinafter “Atlassian”) through the Atlassian Marketplace.

You (hereinafter the “Licensee”) are the one who purchase or evaluate the products accompanying this EULA including the application, its associated resources, printed manuals and online/electronic documentation (hereinafter the “Software”). Your details are provided to vendor by Atlassian upon purchasing or evaluating the application via Atlassian Marketplace.

You may be an individual or represent a single legal entity, a company or an organization. If you purchase or evaluate the application on behalf of an entity, a company or an organization you represent, you must have the authority to agree on its behalf to be bound to the terms of this EULA. In this case, the terms Licensee, “you” and “your” refer to the entity, company or organization. If you do not have that authority, you may not use the software.

You agree to be bound by the terms of this EULA by clicking on the “I agree” button (or similar button or checkbox) that is presented to you at the time of your Atlassian Marketplace’s order or by using the application in any way (for example: installing, downloading or copying the software).

InsightViz may modify this Agreement from time to time, subject to the terms set out in this EULA.

1. LICENSE AND TERMS OF USE

The Software is licensed, not sold. Upon Licensee’s acceptance of this EULA, The Vendor grants the Licensee right to use the Software subject to the following conditions:

Standard License. The Vendor grants you a non-exclusive, non-transferable License to use of the software, limited to the defined number of instances, limited to the number of Authorized Users as designated in the Atlassian Marketplace’s order.

Evaluation License. The Vendor grants you a time-limited, non-exclusive, non-transferable limited License to evaluate the Software. After the evaluation period is expired you must abide be either the Standard License use rights or the Free License use rights.

Free License. The Vendor grants you a non-exclusive, non-transferable License to use of the software, limited to the defined number of instances, limited to the number of Authorized Users as designated by the Atlassian Marketplace’s order.

You have only the rights and permissions explicitly granted to you by this EULA or granted to you in writing. You may not use, copy, distribute or publish the software in any other manner.

All rights not expressly granted herein are reserved by Vendor. It is expressly forbidden to reverse engineer/decompile the software, modify the software or remove indications of InsightViz as copyright holder.

2. FEES AND PAYMENT

The Licensee must pay all fees. Failure to pay the Fees by the due date will result in the immediate termination of the Licenses granted under this EULA

Unless agreed upon differently, a license for the software can only be obtained through Atlassian Marketplace. The amount, due date and the manner of payment are directed at the time of purchase of the User License in Atlassian Marketplace.

3. TERMINATION

Your license to the Software automatically terminates if you fail to comply with the terms of this EULA.You may also terminate this EULA at any time.

Upon termination, you are required to remove the Software from your computer and destroy any copies of the Software in your possession.

4. INTELLECTUAL PROPERTY

All right, title and interest to the software remains with InsightViz.

5. UPDATES

InsightViz periodically releases updates to improve the application or to address bugs. To learn about the latest updates, consult the application page in Atlassian Marketplace regularly.

6. SUPPORT

InsightViz provides the licensee with a reasonable level of support through its support website or e-mail for the license, support or maintenance term. InsightViz will try to resolve the reported issues in reasonable time, however it does not guarantee that all support requests , improvements or bug reports will be taken into consideration.

7. LIABILITY

In no event will Vendor’s liability under any claims arising out of this EULA exceed the fees paid by you for the current support period.

8. CHANGES TO AGREEMENT

InsightViz may modify or update this EULA from time to time. If InsightViz modifies the EULA, the modified version will be effective upon your next renewal of a license term, support or maintenance term. In this case, if you objects to the updated EULA, you may choose not to renew.

For the avoidance of doubt, any order is subject to the version of the Agreement in effect at the time of the order in Atlassian Marketplace.
